2.  TIMELINE

3.  PRICE AND PAYMENT

Invoices are payable within 14 days. Late payments may incur interest at 4% above the Bank of England base rate per the Late Payment of Commercial Debts Regulations.

If a payment is more than 14 days overdue, we may pause work until it is settled. We will give you written notice first.

4.  REVISIONS

Two rounds of revisions on each deliverable are included. Further revisions or new requests not in the original scope will be quoted at our standard daily rate of £{{DAILY_RATE}}.

5.  INTELLECTUAL PROPERTY
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
  •  What you own: the working workflows, configurations, and documentation we deliver to you. Once fully paid, they are yours to keep, modify, and run forever.
  •  What we keep: our general know-how, templates, reusable frameworks, and methodology. We may use what we learn to help other clients, but we will never share your specific data or business logic.
  •  Third-party tools: licences for tools including n8n, Google, Microsoft, OpenAI and similar remain governed by their own terms.

6.  CONFIDENTIALITY AND DATA
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
Anything you share with us during this project — customer data, credentials, internal documents and business context — is confidential. We will not share it, sell it, or use it for anything outside this engagement.

We will handle personal data in line with UK GDPR and the Data Protection Act 2018.

You agree not to share our proposals, rates, or methodologies with our competitors. This confidentiality lasts for 3 years after the project ends.

7.  PROFESSIONAL STANDARD AND EXCLUSIONS
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
We will do the work to a reasonable professional standard. We will test it before handover.

We do not promise the automations will be bug-free forever, that third-party services will always work, or that your business will see specific revenue outcomes. Software is software.

If we deliver something that does not work as described in scope, we will fix it at no extra cost, within 14 days of handover.

8.  LIMITATION OF LIABILITY
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
Nothing here excludes liability for death, personal injury caused by negligence, fraud, or anything else that cannot legally be excluded.

For everything else, our total liability under this agreement is capped at the total fees paid in the 12 months before the claim.

We are not liable for indirect or consequential losses, including lost profits, lost data, lost opportunities, or loss of goodwill.

9.  ENDING THE ENGAGEMENT
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
Either of us can end this agreement with 14 days written notice. Email is fine.

If you end early, you pay for work done up to termination plus any third-party costs already committed. If we end early without cause, we will refund fees for work not yet done.

•  On termination we will hand over everything built so far.
  •  We will delete or return your data on your instruction.
  •  We will revoke any access to your systems.

10. SMALL PRINT
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━
  •  Governing law: this agreement is governed by English law. Disputes go to the courts of England and Wales.
  •  Variations: changes need to be agreed in writing. Email counts.
  •  Assignment: neither party can transfer this agreement without the other's consent.
  •  Entire agreement: this replaces any earlier discussions or quotes on this project.
  •  Notices: all formal notices go by email to the addresses below.
